Nest Ventures, L.L.C., headquartered in Scottsdale, Arizona, with offices in Montreal and San Antonio, TX is a consulting boutique that offers customized solutions to its client companies. The company was formed with the purpose of advising both public and private companies focusing on capital formation, strategic alliances, mergers and acquisitions, turnarounds, board formation, and other operational issues. The management team of Nest has over 75 years of cumulative experience and has developed an expertise in a variety of business sectors.

Nest ventures also work with VC's and Investment Banks as advisors and assists in helping with troubled investments.

Once a company has become a client, Nest begins to guide the client through a transformation process. The first step is to assemble an extensive financial due diligence package, similar to what is necessary for traditional Investment Banking and Venture Capital Investments. The objective is to position the company so that it is poised to execute its strategic vision.

Concurrently to the due diligence phase, Nest begins the Packaging Process to prepare the client for the rigors of raising capital. This is an intensive process and involves all levels of the client executive management team. The goal of this step is to clearly define the mission of the company and to assemble a presentation that reflects that mission to potential investors.

Our intent is to have the client thoroughly prepared to answer all questions on financial, technological and competitive positioning, which should drastically shorten the length of time that typically passes between a first meeting and an investment transaction.

Once the due diligence book is assembled and the packaging process is complete, Nest will assist the client in designing the optimal capital structure for such a transaction. Whether the investment is a private placement of equity, debt instrument, strategic investment or merger & acquisition, Nest has the expertise to properly structure the transaction to maximize shareholder value. The type of transaction will ultimately depend upon the current state of the capital markets and the competitive landscape at that particular time.

Nest Ventures will only work with a select group of companies that meet its stringent criteria. Due to the time commitment involved and the extensive personal involvement that Nest has with each of its client companies, the firm typically only engages a few companies at any given time.
